BY PURCHASING FROM HALCYON ADVANCED MATERIALS, YOU EXPLICITLY AGREE THAT ALL PRODUCTS ARE INTENDED STRICTLY FOR IN VITRO LABORATORY RESEARCH USE ONLY. THEY ARE NOT FOR HUMAN CONSUMPTION, ANIMAL USE, THERAPEUTIC, OR DIAGNOSTIC PURPOSES.

1. Acceptance of Terms & Eligibility

By accessing our website and placing an order, you confirm that you are at least 18 years of age and represent a legitimate research institution, university, or corporate laboratory. You agree to be bound by these Terms of Service. Halcyon Advanced Materials reserves the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we suspect unauthorized or illegal use of our products.

2. Strict "Research Use Only" (RUO) Clause

The chemicals, peptides, and advanced materials offered in our catalog have not been evaluated, approved, or cleared by the United States Food and Drug Administration (FDA), the European Medicines Agency (EMA), or any other regulatory body for human or veterinary use.

  • Our products must be handled exclusively by qualified professionals trained in laboratory safety procedures.
  • Under no circumstances shall these products be used as drugs, dietary supplements, cosmetics, food additives, or household chemicals.
  • The buyer is solely responsible for ensuring that their specific research application complies with all local, state, and federal laws.

3. Know Your Customer (KYC) Verification

To uphold the integrity of the scientific community and comply with global chemical distribution regulations, we may institute mandatory KYC protocols. We reserve the right to request proof of institutional affiliation, a statement of intended use, or a copy of a valid government-issued ID before processing any order. Failure to comply with verification requests will result in immediate order cancellation.

4. Indemnification & Assumption of Risk

The buyer fully realizes that there are inherent risks associated with the handling of undocumented or experimental chemicals. The buyer assumes all responsibility for damages, injuries, or liabilities resulting from the handling, storage, or use of the products. By purchasing, the buyer agrees to indemnify, defend, and hold harmless Halcyon Advanced Materials, its directors, employees, and affiliates from any claims, expenses, losses, or liability arising out of the buyer's handling or use of the materials.

5. Disclaimer of Warranties

Our products are provided "as is" and without warranties of any kind, whether express or implied. While we provide Certificates of Analysis (COAs) validating molecular purity via HPLC and Mass Spectrometry, we disclaim any warranty of merchantability or fitness for a particular purpose. Halcyon Advanced Materials shall not be held liable for any incidental, indirect, or consequential damages.

6. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with international commercial law, without regard to its conflict of law provisions. Any legal disputes shall be resolved exclusively in the jurisdiction where Halcyon Advanced Materials holds its primary legal entity.
